Use of OISEA.org
Clear Conditions Support Responsible Use.
These Terms of Use (“Terms”) govern access to and use of oisea.org and related website features operated by LOXENKEY LLC, doing business as OISEA (collectively, “OISEA,” “we,” “us,” or “our”).
These Terms apply only to the website. If OISEA accepts a professional engagement, the written agreement for that matter will govern the services and will control if it conflicts with these Terms.
Acceptance and Scope
By accessing or using this website, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the website.
You must be legally capable of agreeing to these Terms. If you use the website on behalf of an organization, you represent that you are authorized to act for that organization concerning your website use.
Website Information
General Information Only
The website provides general information about OISEA, investigative and analytical subjects, potential service categories, and related professional topics. Website content is not matter-specific advice and should not be treated as a substitute for an appropriate professional assessment.
No Legal Advice
OISEA is not a law firm and does not provide legal advice or legal representation. Nothing on this website creates an attorney-client relationship or should be interpreted as a legal opinion, legal conclusion, or recommendation concerning legal rights or strategy.
Accuracy and No Reliance
OISEA makes reasonable efforts to present useful information but does not promise that all website content is complete, current, error-free, or appropriate for a particular circumstance. You are responsible for obtaining advice suited to your facts before acting or refraining from acting in reliance on website content.
No Professional Relationship
Visiting the website, communicating with OISEA, or submitting an initial inquiry does not create an investigator-client, expert-client, consultant-client, attorney-client, fiduciary, employment, partnership, joint-venture, or other professional relationship.
OISEA has not accepted a matter unless and until the matter has been reviewed, any required conflicts and scope considerations have been addressed, and an authorized written agreement has been completed.
Inquiries and Submissions
You are responsible for the accuracy and lawfulness of information you submit. You represent that you have the authority to provide the information and that doing so does not violate another person’s rights, a court order, a contractual duty, or applicable law.
Initial inquiries are reviewed only to determine whether an appropriate discussion or engagement may be possible. Submission does not guarantee a response, availability, acceptance, confidentiality, privilege, or any particular action.
Do not submit highly sensitive records or evidence through the initial inquiry form. This includes Social Security numbers, financial credentials, medical records, explicit evidence, confidential legal documents, extensive case files, or sensitive digital media.
You grant OISEA a limited permission to receive, store, review, reproduce internally, and communicate about submitted information only as reasonably necessary to evaluate and respond to the inquiry, operate and secure the website, maintain appropriate records, or comply with law.
Emergencies and Service Availability
Not an Emergency Service
The website and inquiry form are not monitored as emergency services. If there is immediate danger, an active emergency, or an urgent missing-person situation, contact 911 or the appropriate law-enforcement agency first.
Availability and Jurisdiction
Descriptions of services are general and are not binding offers. Availability depends on the nature of the matter, location, licensing and legal requirements, conflicts, capacity, qualifications, insurance, scope, and written acceptance.
No Guarantee of Results
Investigative and analytical matters involve facts, sources, access limitations, third parties, and other variables outside OISEA’s control. Website content does not promise or predict any finding, recovery, location, admissibility determination, legal outcome, or other result.
Acceptable Use
You may not use the website to:
- Engage in unlawful, fraudulent, deceptive, harassing, threatening, or abusive conduct.
- Submit information you know is false, misleading, infringing, unlawfully obtained, or provided without appropriate authority.
- Attempt to gain unauthorized access to accounts, systems, servers, data, or restricted areas.
- Probe, scan, test, disable, bypass, or interfere with website security or functionality.
- Introduce malware, harmful code, automated attacks, excessive requests, or other disruptive technology.
- Scrape, harvest, index, or collect website content or personal information through unauthorized automated means.
- Impersonate OISEA or another person, misrepresent affiliation, or misuse OISEA branding.
- Use the website in a manner that infringes rights or could damage OISEA, its clients, website users, or others.
Intellectual Property
The website and its original text, design, graphics, photographs, reports made available through the site, branding elements, trade names, and other content are owned by OISEA or used with permission and may be protected by copyright, trademark, and other laws.
Subject to these Terms, OISEA grants you a limited, revocable, nonexclusive, nontransferable right to access and use the website for lawful personal or internal informational purposes. This does not transfer ownership or authorize commercial reproduction, republication, modification, distribution, sale, sublicensing, creation of misleading derivative materials, removal of ownership notices, or use of OISEA marks without written permission.
Nothing in these Terms restricts a use that applicable law expressly permits, including a use that legally qualifies as fair use.
Third-Party Services and Links
The website may rely on or link to third-party websites, platforms, hosting, forms, fonts, security tools, or other services. OISEA does not control third-party content, availability, terms, privacy practices, security, or performance and is not responsible for them.
A link or technical integration does not necessarily constitute endorsement. Your use of a third-party service may be governed by that provider’s terms and policies.
Privacy
Our Privacy Policy describes how OISEA handles personal information associated with the website and initial inquiry process. By using the website, you acknowledge that information will be handled as described there.
Disclaimers
To the fullest extent permitted by applicable law, the website and its content are provided on an “as is” and “as available” basis. OISEA disclaims warranties concerning the website, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, security, and uninterrupted availability.
OISEA does not warrant that the website will always be available, free from errors or harmful components, or compatible with every device or system. Some jurisdictions do not allow certain warranty exclusions, so some exclusions may not apply to you.
Limitation of Liability
To the fullest extent permitted by applicable law, OISEA and its owners, officers, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the website, inability to use the website, website content, third-party services, or reliance on website information.
To the fullest extent permitted by law, the aggregate liability of the OISEA parties for a claim arising solely from use of this website will not exceed one hundred U.S. dollars ($100).
These limitations do not apply to liability that cannot lawfully be excluded or limited. They also do not replace or modify obligations expressly stated in a signed professional engagement agreement.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless OISEA and its owners, officers, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful misuse of the website, material breach of these Terms, infringement of another person’s rights, or information you submit without lawful authority.
This obligation does not require you to indemnify an OISEA party for that party’s own conduct to the extent such indemnification is prohibited by law.
Changes and Access
OISEA may update the website or these Terms from time to time. Revised Terms will be posted on this page with an updated date and will become effective on the date stated. Continued use after the effective date constitutes acceptance of the revised Terms.
OISEA may suspend, restrict, or terminate access to all or part of the website when reasonably necessary for maintenance, security, legal compliance, protection of rights, or suspected misuse. Sections that by their nature should continue after access ends will survive.
Governing Law and Venue
These Terms are governed by the laws of the State of Tennessee, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Subject to any mandatory law, a dispute arising solely from these Terms or website use must be brought in a state or federal court located in or serving Anderson County, Tennessee, and you consent to the personal jurisdiction of those courts. A signed professional engagement agreement may establish different dispute terms for an accepted matter.
General Terms
Severability
If a provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted or modified to reflect its purpose, and the remaining provisions will continue in effect.
No Waiver
A failure to enforce a provision is not a waiver of that provision or any other right.
Assignment
You may not assign or transfer your rights or obligations under these Terms without OISEA’s written consent. OISEA may assign these Terms in connection with a reorganization, transfer of operations, or other lawful business transaction.
Entire Website Terms
These Terms and the Privacy Policy constitute the entire agreement concerning use of the website. They do not replace a signed agreement governing professional services.
